1. Acceptance of Terms
These Terms govern your use of this Website only. They do not govern the provision of clinical therapy services. Clinical services are subject to a separate, written therapeutic services agreement provided at intake.

A therapist-client relationship is established only upon execution of a written therapeutic services agreement, completion of required intake documentation, and commencement of clinical services. Until that point, no duty of care, confidentiality obligation, or professional relationship exists.
Information shared through this Website (including contact forms and general inquiries) is not protected by therapist-client privilege until a formal therapeutic relationship has been established.

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, LEELA MENTAL HEALTH, FAMILY THERAPY CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THIS WEBSITE.
12.2 Statutory Exceptions. In accordance with California Civil Code §1668 and the California Supreme Court’s ruling in New England Country Foods, LLC v. VanLaw Food Products, Inc. (2025) S282968, contractual limitations on damages for willful injury to persons or property are categorically unenforceable. Accordingly, nothing in these Terms is intended to, nor shall it be interpreted to, exempt or limit the Practice’s liability for:
- (a) Damages resulting from the Practice’s own fraud or willful misconduct;
- (b) Willful injury to your person or property;
- (c) Damages resulting from gross negligence in connection with clinical services; or
- (d) Any other claim for which California law prohibits limitation of liability.
12.3 Separation of Website and Clinical Services. The limitations of liability set forth in this Section 12 apply solely to your use of this Website and non-clinical administrative interactions. They do not apply to any clinical services provided under a separate therapeutic services agreement. Clinical negligence claims, if any, are governed by applicable professional standards and California law, not these Website Terms.
12.4 Maximum Liability Cap. For all other claims (including those based in contract or ordinary negligence related to Website use), the total cumulative liability of the Practice shall not exceed the greater of:
- (a) The total fees paid by you to the Practice during the six (6) months immediately preceding the event giving rise to the claim; or
- (b) $100.00 USD.
13. Indemnification
You agree to indemnify and hold harmless Leela Mental Health, Family Therapy Corporation, its clinicians, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of this Website; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
14. Children Under 13
This Website is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13 through this Website. If you believe a child under 13 has provided personal information to us through this Website, please contact us immediately at information@leelamentalhealth.com. Clinical services for minors are subject to parental consent requirements governed by California law and our clinical intake process.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The County of Santa Clara, California, shall be the exclusive venue for any dispute arising out of or related to these Terms or your use of this Website.
Before initiating any legal proceeding, you agree to first contact us at information@leelamentalhealth.com to attempt to resolve any dispute informally. This informal resolution requirement does not apply to emergency injunctive relief, claims arising from clinical services governed by a separate agreement, or HIPAA-related complaints (which may be filed directly with HHS at any time).
Nothing in these Terms constitutes a mandatory arbitration clause or a waiver of any right to participate in a class action lawsuit under applicable California or federal law.
16. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
